  • PRELIMINARY OFFER
  • Contains the basic parameters of a possible future transaction, including defining the distribution of costs incurred between both parties during the investment process.
  • FINANCIAL AUDIT
  • A tax and accounting audit that ascertains the current financial state of the company.
  • Output is a report containing findings and potential risks.
  • BINDING OFFER
  • An offer including a specific price based on the company evaluation.
  • SHA
  • Binding document that regulates relations within the company, between the parties and each towards the entity.
  • Nominations to bodies, decision-making authority of individual bodies (shareholders’ meetings, executive signatory, supervisory board).
  • A detailed description of the particulars of the business plan.
  • BUSINESS PLAN
  • Business plan of the company after the investor entry.
  • Due diligence, created in parallel with other documentation.

  • SPA
  • Binding document when there is a change of ownership – transfer of shares / investor entry.
  • Includes the determination of the purchase price, installments, other obligations, declarations, contractual fines for breach, a mechanism for calculating purchase price discount in certain cases, possibility of withdrawal upon breach, etc.
  • As part of the agreement, a series of accompanying documentation is signed.
